Terms of Use
Agreement
These Terms of Use (“Terms”) govern your access to and use of PMS VB (the “Service”). The Service may be provided through websites, desktop applications, mobile applications, or APIs that interoperate with the hosted platform operated by PTA Solutions. By registering, clicking acceptance, or using the Service, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it.
The Service
The Service is a workspace for document-centric project workflows. Depending on subscription and administrator settings, features may include folders and libraries, uploads and previews, comments and tasks, approvals, audit trails, integrations, OCR or AI-assisted document features, retention and legal holds, SSO, granular permissions, search, analytics, and exports.
We may introduce, modify, or retire features where reasonably justified. Planned or emergency maintenance may cause brief interruptions. Separate service-level commitments apply only where an order form expressly provides them.
Accounts and acceptable use
Provide accurate credentials and cooperate with organisational security policies enforced by administrators (for example SSO, MFA, quota limits). Do not misuse the Service—including by violating law, infringing others’ IP, uploading malware, attempting to bypass technical controls outside permitted APIs and quotas, or conducting automated scraping that disrupts operations. Report suspected compromise to privacy@pmsvb.pta.solutions promptly.
Customer data
Your organisation retains its rights to the materials you upload into the tenant (“Customer Data”), subject to your own policies and contractual obligations toward third parties. You grant PTA Solutions (and authorised subprocessors) a licence to host, encrypt, transmit, store, analyse, display, optimise performance, troubleshoot, fulfil legal obligations, and produce non-identifiable aggregates and reliability telemetry as needed to operate, secure, invoice, deliver support, honour master agreements, SCCs/DPA commitments, onboarding, attestations—and not use Customer confidential content for unrelated marketing unless permitted. Outputs from OCR or AI-assisted features may be inaccurate; you remain responsible for decisions that materially affect your organisation.
Fees
Paid tiers, taxes, invoicing cadence, currencies, renewal, termination, refunds, suspension for non-payment, and trial conversions follow documentation and order forms you execute with PTA Solutions.
Privacy
Personal data processing follows our Privacy Policy. Controller/processor responsibilities for enterprise deployments are clarified in DPAs or order forms referenced there.
Open source and third parties
Portions of the Service may include open-source components credited in product notices. Third-party integrations you enable remain subject to those vendors’ terms and your export or sector compliance programmes.
Company intellectual property
PTA Solutions retains all rights to the Service, branding, aggregated non-personal models, UX, APIs, tooling, analytics not derived solely from identifiable Customer Data, improvements from permitted feedback—and grants you only the limited rights needed to consume the subscribed features in accordance with these Terms (no resale absent written approval).
Warranties disclaimer
Except for express warranties expressly written in agreements you sign—or rights that mandatory law cannot disclaim—the Service is provided “AS IS”. We disclaim implied warranties of merchantability, fitness for purpose, uninterrupted operation, completeness, correctness of automated document extractions or suggestions, latency, throughput, backups, integrations, statutory quiet enjoyment—to the fullest extent permissible. Nothing here limits non-waivable consumer guarantees applying to consumers in your jurisdiction.
Limitation of liability
Except for fraud, intentional misconduct, death, personal injury, or liability that mandatory law forbids restricting, neither party shall be liable for indirect, incidental, special, punitive, consequential, reputational losses, nor loss of profits, revenue, goodwill, or data—even if advised of such risks. Aggregate liability is capped at the greater of amounts paid during the twelve months prior to the event giving rise to the claim or the minimum permitted by law. Dedicated SLAs define exclusive remedies solely where purchased in writing.
Indemnity
You will defend and indemnify PTA Solutions personnel and affiliates against third-party claims arising from Customer Data, your integrations, or breaches of these Terms—including IP or privacy misuse—provided we give reasonable notice, cooperation, and you may not settle admissions of our liability without approval.
Beta previews
Experimental features may operate with relaxed SLAs until declared generally available; continuity is not promised and features may disappear with notice proportional to impact.
Suspension, termination, survival
Contracts describe notice, renewal, downgrade, lawful suspension, orderly export windows, backups, regulatory cooperation, successors, subcontractor changes—and which sections survive cessation (among them confidentiality, disclaimers within limits at law, governing law/arbitration, indemnity carve-outs, accrued fees, accrued IP).
Changes
We may update these Terms materially with reasonable advance notice communicated through admin channels where practicable alongside posting the refreshed document. Continue only if you agree; otherwise cease use and initiate data export workflows before the effective date.
Governing law and disputes
If you have a separate written agreement with PTA Solutions that specifies governing law or dispute resolution, that agreement prevails. Otherwise, these Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-law rules. Subject to any mandatory consumer protections where you live, you agree that the courts in Vietnam have exclusive jurisdiction.
